Corporate / M&A Lawyer

Our client is an established international legal practice seeking an experienced M&A / Corporate Transactions lawyer to join its Shanghai team.

This role offers the opportunity to work on a broad range of domestic and cross-border transactions, advising corporate clients on mergers and acquisitions, corporate structuring, investments, joint ventures, and related commercial matters.

The successful candidate will have direct exposure to clients, involvement in sophisticated transactions, and the opportunity to work within a collaborative and professional environment.

Responsibilities:

  • Advise clients on mergers and acquisitions, corporate transactions, investments, joint ventures and general corporate matters.
  • Independently manage cross-border M&A transactions throughout the full deal lifecycle.
  • Conduct legal due diligence and identify key legal, regulatory and commercial risks.
  • Draft, review and negotiate transaction documents and commercial agreements.
  • Structure transactions and provide practical, business-oriented legal solutions.
  • Lead client meetings, negotiations and presentations.
  • Manage transaction matters and coordinate with internal teams and external stakeholders.
  • Supervise and mentor junior lawyers on due diligence, drafting and transaction execution.

Requirements:

      Qualifications

  • Chinese law degree.
  • Passed the PRC Bar / National Legal Professional Qualification Examination.
  • Minimum 6 years of experience in M&A, corporate transactions or corporate advisory work.

      Technical & Transaction Experience

  • Demonstrated experience managing the full lifecycle of M&A transactions.
  • Strong drafting and negotiation skills for transactional documentation.
  • Solid understanding of transaction structures, due diligence processes and legal risk assessment.
  • Ability to analyse complex legal matters, identify key commercial and legal issues, and provide practical, business-oriented advice.
  • Ability to manage matters independently with minimal supervision.

      Client Management & Leadership

  • Strong client relationship management and communication skills.
  • Ability to communicate complex legal issues clearly and pragmatically.
  • Experience managing client expectations and working effectively with both domestic and international clients.
  • Ability to supervise and mentor junior lawyers.

      Language & International Exposure

  • Strong written and verbal communication skills in both Chinese and English.
  • Ability to review, analyse and explain legal documents in both Chinese and English.
  • Experience advising international clients and working on cross-border transactions would be advantageous.
